Terms of Service and End User License Agreement (EULA)

Welcome to Assindo! By accessing and using Assindo's services ("the Services"), you agree to comply with and be bound by the following Terms of Service and End User License Agreement ("Terms"). These Terms govern your use of Assindo, including any content, functionality, and services offered.

Please read these Terms carefully. If you do not agree with any part of these Terms, you must not use Assindo.

1. Definitions

• "We," "Us," "Our": Refers to Rynova Labs, LLC, the provider of Assindo service
• "You," "User": Refers to anyone using the Services provided by Assindo.
• "Services": Refers to all features and services provided by Assindo, including mobile and web applications, task management, communication handling, and AI assistant services.
• "Application": Refers to the Assindo mobile application available on Apple's App Store and Google's Play Store.
• "Company": Refers to Rynova Labs, LLC.

2. Eligibility

By using Assindo, you confirm that you:

• Are at least 18 years old.
• Have the legal authority to enter into these Terms and use the Services.
• Agree to provide accurate, up-to-date, and complete information when creating an account or using the Services.

3. Scope of License

• License Grant: We grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to download, install, and use the Application on any Apple or Android device that you own or control, and as permitted by the Usage Rules set forth in the Apple App Store Terms of Service and Google Play Terms of Service.
• Restrictions: You may not rent, lease, lend, sell, redistribute, or sublicense the Application. You may not copy, decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Application or any part thereof.

4. Account Registration and Security

• Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide and maintain accurate, current, and complete information about yourself as prompted by our registration process.
• Account Responsibility: You are responsible for maintaining the confidentiality of your account credentials and are fully responsible for all activities that occur under your account.
• Unauthorized Access: You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account or any other breach of security.
• Account Termination: We reserve the right to suspend or terminate your account at any time, without notice, for any reason, including but not limited to violation of these Terms.

5. Use of Services

By using Assindo, you agree to the following:

• Lawful Use: You will use the Services only for lawful purposes and in accordance with these Terms.
• Prohibited Uses: You agree not to:
  • Use the Services in any way that violates any applicable laws or regulations.
  • Use the Services to transmit any illegal, harmful, or inappropriate content.
  • Attempt to interfere with or disrupt the Services or the security of Assindo's systems.
  • Reverse-engineer or attempt to extract the source code of the Services.
  • Use the Services to spam, harass, or engage in any malicious behavior.
• Task Creation: You agree that tasks created through the Services will be within the scope of what Assindo is designed to handle, including but not limited to managing phone calls, scheduling, and other tasks typically handled by an AI assistant.

6. Maintenance and Support

• Developer Responsibility: We are solely responsible for providing any maintenance and support services with respect to the Application, as specified in these Terms or as required under applicable law.
• Third-Party: Neither Apple nor Google has any obligation whatsoever to furnish any maintenance and support services with respect to the Application.

7. Subscription and Payment

• Subscription Plans: Assindo offers different subscription plans with varying levels of service, as described on our website or mobile app. By subscribing, you agree to pay the fees for your selected plan.
• Billing: You will be billed in advance on a recurring basis (e.g., monthly, annually) depending on the subscription plan selected.
• Payment Method: You must provide a valid payment method. By providing payment information, you represent and warrant that you are authorized to use the designated payment method.
• Refunds: All payments made are non-refundable, except as required by law or as described in our refund policy.
• Free Trials and Promotions: Assindo may offer free trials or promotional discounts. These offers are subject to specific terms, and we reserve the right to modify or discontinue these offers at any time.

7A. Fair use - incoming calls

Incoming calls are unlimited on paid plans and during the free trial, under fair use: 30 hours per month on Personal (and the trial), 60 hours on Professional, 120 hours on Business. We never cut off calls; if your usage is far above this, we may contact you.

8. Intellectual Property

• Ownership: All content, features, and functionality available through the Services (including but not limited to software, logos, text, images, and code) are owned by Assindo or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
• License to Use: Subject to these Terms, Assindo grants you a limited, non-exclusive, non-transferable license to access and use the Services for personal or internal business use.
• Restrictions: You may not reproduce, modify, distribute, display, perform, or create derivative works based on any part of the Services without our prior written consent.

9. Privacy

Your use of Assindo is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. Please read our Privacy Policy for more details.

10. User Content

• Responsibility for Content: You are solely responsible for any content, tasks, or information you submit through the Services.
• Rights to Content: By submitting content, you grant Assindo a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, store, reproduce, modify, create derivative works, display, and distribute your content for the purpose of operating and providing the Services.
• Prohibited Content: You agree not to submit any content that is illegal, offensive, harmful, infringing, defamatory, obscene, or otherwise objectionable or that violates any laws or rights of third parties.

11. Service Availability

• No Guarantee: While we strive to provide uninterrupted access to Assindo, we do not guarantee that the Services will always be available or be uninterrupted. Downtime may occur due to maintenance, updates, or unforeseen circumstances.
• Modifications: We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice.

12. Warranty Disclaimer

• No Warranties: The Services and Application are provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, or security.
• Third-Party Disclaimer: Neither Apple, Google, nor any of their subsidiaries or affiliates warrant the accuracy or completeness of the Services or assume any liability or responsibility for any errors or omissions in the content.

13. Limitation of Liability

• Exclusion of Damages: To the maximum extent permitted by applicable law, in no event shall Assindo, its owners, affiliates, licensors, or service providers be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
• Maximum Liability: Assindo's total liability to you for all claims arising out of or relating to these Terms or your use of the Services or Application shall not exceed the amount paid by you to Assindo in the twelve (12) months immediately preceding the event that gave rise to the claim.
• Assumption of Risk: You acknowledge and agree that you assume full responsibility for your use of the Services and Application and that any information you send or receive may not be secure and may be intercepted by unauthorized parties.

14. Product Claims

• Responsibility for Claims: You acknowledge that Assindo, not Apple or Google, is responsible for addressing any claims by you or any third party relating to the Application or your possession and/or use of the Application, including but not limited to:
  • Product liability claims;
  • Any claim that the Application fails to conform to any applicable legal or regulatory requirement;
  • Claims arising under consumer protection, privacy, or similar legislation.

15. Intellectual Property Rights

• Third-Party Claims: In the event of any third-party claim that the Application or your possession and use of the Application infringes on that third party's intellectual property rights, Assindo will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

16. Legal Compliance

• Compliance with Laws: You represent and warrant that:
  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist-supporting" country;
  • You are not listed on any U.S. Government list of prohibited or restricted parties;
  • You will comply with all applicable laws and regulations, including U.S. export control laws.

17. Third-Party Beneficiary

• Acknowledgment: You acknowledge and agree that Apple and Apple’s subsidiaries, as well as Google and Google’s subsidiaries, are third-party beneficiaries of these Terms.
• Enforcement: Upon your acceptance of these Terms, Apple and Google will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as third-party beneficiaries.

18. Disclaimer for Generative AI (GenAI) Usage

Assindo uses Generative AI (GenAI) technology to assist in handling tasks, generating responses, and providing recommendations. While we strive to provide accurate and helpful information, the nature of GenAI technology means that:

• Potential Inaccuracies: The AI may generate responses that contain inaccuracies or are not fully reliable. It is your responsibility to double-check and verify all information provided by the AI, especially for important tasks.
• Hallucinations: The AI may occasionally generate incorrect or irrelevant information, known as "hallucinations." These are unintended outputs of the AI system and should be treated with caution.
• Expect Issues: Given the complexity of AI technology, you may experience issues with the assistant's performance, including incomplete or inaccurate task handling. Assindo will work to address and improve these issues, but users should anticipate that the system is not infallible.
• Not for Emergency or Critical Situations: Assindo is not designed for use in emergencies or critical situations. You should not rely on Assindo for medical, legal, financial, or safety-related tasks that require immediate attention or guaranteed accuracy. In such situations, we recommend directly contacting the appropriate professional or service provider.

19. Beta Version Disclaimer

Assindo is currently being offered as a beta version, which means it is still in development and subject to change. By using the beta version of Assindo, you acknowledge and agree to the following:

• Ongoing Changes: The features, design, and functionality of the Services may change at any time without prior notice as we work to improve the product based on user feedback and technical needs.
• Potential Errors and Bugs: As a beta version, the Services may contain errors, bugs, or other issues that could affect performance or user experience. You agree to use the Services with the understanding that these issues may occur.
• No Guarantee of Stability or Availability: We cannot guarantee that the Services will be stable, error-free, or available at all times during the beta phase. There may be outages or interruptions as we make updates and improvements.
• Feedback and Improvements: We encourage users to provide feedback on the beta version, which will help us identify areas for improvement. By providing feedback, you grant us the right to use it for the purpose of improving the Services.
• No Liability for Beta Use: Assindo is provided "as is" during the beta phase, and we assume no liability for any issues, damages, or disruptions arising from the use of the beta version.

20. Dispute Resolution and Arbitration

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, the use of the Services or Application, or the breach, termination, enforcement, interpretation, or validity of these Terms, you and Assindo agree to resolve any such dispute through binding arbitration.

• Arbitration Rules: The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Mediation Procedures. The arbitration will take place in Seattle, Washington, USA.
• No Class Actions: You agree that you will pursue any claim or dispute on an individual basis and not as part of any class action or representative proceeding.
• Costs: Each party will be responsible for its own costs and legal fees in the arbitration unless otherwise required by the arbitrator.
• Exceptions: Notwithstanding the foregoing, Assindo may seek injunctive or other equitable relief to protect its intellectual property rights in any court of competent jurisdiction.

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of laws principles.

22. User Responsibility and Assumption of Risk

By using Assindo, you acknowledge and agree that:

• You are solely responsible for the decisions and actions you take based on the AI-generated outputs provided by Assindo.
• You understand that AI-generated content may not always be accurate, reliable, or appropriate for all situations.
• You agree to verify all critical information independently and not rely on Assindo for decisions that could have significant consequences (e.g., medical, legal, or financial advice).
• Assindo is not a substitute for professional services, and you assume all risks associated with using the Services for task management, appointment scheduling, and other functions.

23. Misuse, Spamming, and Permanent Bans

Assindo is designed to provide automated assistance for lawful and productive purposes. Any misuse of Assindo's automated systems, including spamming, prank calling, or engaging in harmful or malicious behavior, will result in immediate and permanent termination of your account.

• Permanent Ban: If we determine that you are using Assindo to spam, harass, prank, or otherwise abuse our systems or other users, we reserve the right to permanently ban you from using Assindo. This includes banning any future accounts you attempt to create.
• Legal Action: If your misuse causes harm or violates any laws, we reserve the right to pursue legal action to recover damages and seek further remedies as necessary.
• User Reporting: We encourage users to report any misuse of the system. Verified misuse may result in the permanent banning of the offending user.

24. Indemnification

You agree to indemnify, defend, and hold harmless Assindo, its owners, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys’ fees, arising out of or in connection with:

• Your use or misuse of the Services or Application;
• Any breach of these Terms by you or anyone using your account;
• Any violation of applicable laws or regulations by you;
• Any content you submit, including tasks or communications managed through the Services.

If any legal action arises out of your use of Assindo that affects the owner/operator, you agree to cover all related legal fees and damages to protect the operator personally.

25. Changes to the Terms

We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms within the Application or on our website. It is your responsibility to review these Terms periodically for updates. Your continued use of the Services or Application following the posting of changes constitutes your acceptance of the modified Terms.

26. Termination

• By You: You may terminate these Terms by discontinuing use of the Services and deleting the Application from your devices.
• By Us: We may terminate these Terms and your access to the Services at any time without notice if you violate any terms of these Terms.
• Effect of Termination: Upon termination, all rights granted to you under these Terms will cease, and you must cease all use of the Services and delete all copies of the Application from your devices.

27. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

28. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Assindo regarding the use of the Services and Application, superseding any prior agreements between you and Assindo.

29. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Assindo's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
